1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to the Japademy website at japademy.com (the "Website") and your purchase of any products or services offered through it.
By accessing the Website or purchasing any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website or purchase our services.
You must be at least 18 years of age to make a purchase on the Website, whether for yourself or on behalf of another person.
Students aged 14 to 17 may enrol in Japademy courses and lessons provided that a parent or legal guardian makes the purchase and accepts these Terms on their behalf. By completing a purchase for a minor, the purchasing adult confirms they are the minor's parent or legal guardian and accepts full responsibility for the minor's participation and compliance with these Terms.
Students under 14 years of age may only participate with prior written approval from Japademy, obtained through direct email correspondence with a parent or legal guardian. Approval is granted at Japademy's sole discretion on a case-by-case basis.
2. Who You Are Contracting With
Japademy operates through two separate legal entities. The entity you are contracting with depends on the service you purchase:

Where these Terms refer to "Japademy," "we," "us," or "our," the reference applies to whichever entity is the contracting party for the service you have purchased. Your rights, obligations, and the governing law that applies to your purchase are determined accordingly, as set out in Article 13.
3. Definitions
"Course" means any live online group course offered by Japademy, including 10-week Japanese language courses and JLPT Prep Courses.
"Enrolment" means a confirmed and paid registration for any Japademy service.
"Intake" means a scheduled cohort start date for a Course.
"Lesson" means an individual session within a Course, a Private Lesson, or an In-Person Course.
"Private Lessons" means one-to-one or small group online lessons booked on a lesson-package basis.
"Video Courses" means self-paced, pre-recorded courses available for purchase and accessible through our learning platform.
"Yokosuka In-Person Courses" means live Japanese language courses delivered at a physical location in Yokosuka, Japan.
4. Website Use
4.1 Permitted Use. You may access and use the Website for personal, non-commercial purposes in accordance with these Terms. You must not use the Website in any way that is unlawful, harmful, or disruptive to other users.
4.2 Account. Some services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@japademy.com if you believe your account has been compromised.
4.3 Accuracy of Information. You agree to provide accurate and complete information when creating an account or completing a purchase, and to keep that information up to date.
4.4 Third-Party Links. The Website may contain links to third-party websites. We are not responsible for the content or practices of those websites and provide links for convenience only.
5. Our Services
5.1 Live Online Courses (10-Week and JLPT Prep). Our live online group courses are delivered via video conferencing on scheduled dates and times. Each Course runs for a fixed intake period and is led by a native Japanese-speaking teacher.
Upon confirmed Enrolment, you will receive access to supplementary video course content on our learning platform and an invitation to our Japanese practice application. Access to these supplementary resources is granted for the duration of the intake and for such additional period as we may specify at the time of enrolment.
Courses are taught in English and are intended for adult learners. Placement in a course level is based on information you provide at the time of enrolment. We reserve the right to reassign you to a more suitable level if, in our reasonable opinion, the course level is not appropriate for your current ability.
5.2 Private Lessons. Private Lessons are booked in packages of 5, 10, or 15 lessons. Lessons are conducted online via video conferencing and are matched to a teacher based on your level and availability.
A 25-minute trial lesson is available prior to purchasing a lesson package. The trial lesson is subject to the booking and payment terms set out on the relevant product page.
Lesson packages are valid for use within the period specified at the time of purchase. Unused lessons that fall outside the validity period are forfeited unless we agree otherwise in writing.
5.3 Video Courses. Video Courses are self-paced, pre-recorded courses available for individual purchase. Upon payment, you are granted a personal, non-transferable licence to access the course content through our learning platform for the period specified at purchase, or indefinitely where no period is specified.
Video Courses are provided for personal educational use only. You may not download, reproduce, share, or distribute the content in any form.
5.4 Yokosuka In-Person Courses. Yokosuka In-Person Courses are delivered at a physical location in Yokosuka, Kanagawa Prefecture, Japan, by 合同会社JAPADEMY. Course schedules, session frequency, and location details are set out on the relevant product page.
In addition to these Terms, Yokosuka In-Person Courses are subject to applicable Japanese consumer protection laws, including the Act on Specified Commercial Transactions (特定商取引法). Relevant disclosures required under Japanese law are set out on the Yokosuka Course product page.
5.5 Japanese Conversation Club. The Japanese Conversation Club ("JCC") is a supplementary programme offered to enrolled students of our Live Online Courses and Yokosuka In-Person Courses. Participation in JCC sessions is included as part of your course enrolment and is not available as a standalone purchase. JCC access is subject to availability and session scheduling, which may change between intakes.
6. Enrollment and Payment
6.1 Enrollment. Your enrollment is confirmed when you complete payment in full. We reserve the right to decline or cancel an enrollment at our discretion, in which case a full refund will be issued.
6.2 Payment. All payments are processed online through our payment processor. Prices are displayed in the currency shown on the product page at the time of purchase. For international students, your card issuer may apply foreign currency conversion fees; these are outside our control.
6.3 Pricing. Prices are subject to change. The price applicable to your purchase is the price displayed on the product page at the time you complete payment. Early-bird pricing, promotional discounts, and coupon codes are valid only for the period and conditions stated and cannot be applied retrospectively.
6.4 Taxes. Prices displayed may be exclusive of applicable taxes. Where sales tax, goods and services tax, or consumption tax applies based on your location, it will be calculated and displayed at checkout.
6.5 Failed Payments. If your payment fails, your enrollment will not be confirmed. You remain responsible for completing payment before the enrollment deadline.
7. Cancellations and Refunds
Our refund and cancellation terms vary by product and are set out in full on the relevant product page. The terms applicable to your enrolment are those displayed on the product page at the time of your purchase, and those terms are incorporated into these Terms by reference.
By completing your purchase, you confirm that you have read and understood the refund terms applicable to your chosen product.
In all cases, refund requests must be submitted by contacting us at hello@japademy.com. We aim to process all eligible refund requests within 10 business days of approval.
8. Course Delivery and Changes
8.1 Teacher Assignment. We assign teachers to courses and lessons based on availability and suitability. We reserve the right to substitute a teacher where necessary. Teacher substitution does not entitle you to a refund.
8.2 Schedule Changes. We will make every reasonable effort to deliver courses as scheduled. In the event of a cancellation or significant schedule change on our part, we will notify you as soon as practicable and offer an alternative session, credit, or refund as appropriate.
8.3 Technical Issues. Online lessons are dependent on a stable internet connection on both sides. We are not responsible for disruptions caused by your internet connection or device. Where a lesson is significantly disrupted due to a technical issue on our side, we will reschedule or credit the affected session.
8.4 Course Content. We reserve the right to update, modify, or improve course content and materials at any time to maintain educational quality. Material changes that significantly affect the nature of a course you have already enrolled in will be communicated to you in advance.
9. Intellectual Property
9.1 Ownership. All content on the Website and within our courses — including but not limited to lesson materials, curriculum, flashcards, video recordings, teaching methodologies, visual assets, and the Japademy brand — is owned by Japademy Japanese Learning Inc. or licensed to it, and is protected by applicable intellectual property laws.
9.2 Your Licence. Upon enrolment, you are granted a personal, non-exclusive, non-transferable licence to access and use course materials solely for your own learning purposes during the enrolment period.
9.3 Restrictions. You may not record, copy, reproduce, redistribute, publish, sell, or create derivative works from any Japademy content without our prior written permission. Unauthorised use may result in immediate termination of your access and may expose you to legal liability.
9.4 Feedback. If you share feedback, suggestions, or ideas about our services, you grant us a royalty-free, perpetual licence to use that feedback for any purpose without obligation to you.
10. Acceptable Use and Code of Conduct
You agree to engage respectfully with Japademy teachers, staff, and fellow students at all times. The following conduct is prohibited:
(a) Harassment, discrimination, or abusive behaviour toward any teacher, staff member, or student;
(b) Sharing, recording, or distributing lesson content without written permission;
(c) Providing false information to obtain a discount, refund, or enrolment you are not entitled to;
(d) Disrupting lessons or community spaces in a way that negatively affects other participants;
(e) Using Japademy services for any unlawful purpose.
We reserve the right to suspend or terminate your access to any Japademy service without refund if you breach this code of conduct, at our sole discretion.
11. Third-Party Platforms and Services
Our services are delivered using third-party platforms including payment processors, video conferencing tools, and learning management systems. By using our services, you acknowledge that your use of these platforms is also subject to the respective terms and privacy policies of those third-party providers.
We are not responsible for the availability, performance, or data practices of third-party platforms, and any disputes relating to those platforms must be resolved directly with the relevant provider.
12. Disclaimers and Limitation of Liability
13.3 Dispute Resolution Process. Before initiating any formal proceedings, both parties agree to make a genuine effort to resolve any dispute informally. Please contact us at hello@japademy.com with a written description of your concern. We will respond within 10 business days and aim to reach a resolution within 30 days.
12.1 No Guarantee of Outcomes. We are committed to providing high-quality Japanese language instruction, but we make no guarantee of specific learning outcomes, exam results, or language proficiency gains. Results depend on individual effort, commitment, and engagement.
12.2 Service Availability. We aim to keep the Website and our services available at all times but cannot guarantee uninterrupted access. We are not liable for losses arising from temporary unavailability of the Website or any third-party platform we use.
12.3 Limitation of Liability. To the fullest extent permitted by applicable law, Japademy's total liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you for the relevant service in the twelve months preceding the claim.
12.4 Exclusion of Indirect Loss. Neither Japademy entity shall be liable for any indirect, incidental, consequential, or punitive loss or damage arising from your use of our services, even if we have been advised of the possibility of such loss.
12.5 Consumer Rights. Nothing in these Terms excludes or limits any rights you have under applicable mandatory consumer protection law that cannot be waived by contract.
13. Governing Law and Dispute Resolution
13.1 Online Services (Japademy Japanese Learning Inc.). These Terms, as they apply to Live Online Courses, JLPT Prep Courses, Private Lessons, and Video Courses, are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any dispute arising in connection with these services that cannot be resolved through good faith negotiation shall be submitted to the exclusive jurisdiction of the courts of Calgary, Alberta, Canada.
13.2 Yokosuka In-Person Courses (合同会社JAPADEMY). These Terms, as they apply to Yokosuka In-Person Courses, are governed by the laws of Japan.
Any dispute arising in connection with Yokosuka In-Person Courses that cannot be resolved through good faith negotiation shall be submitted to the exclusive jurisdiction of the Yokohama District Court as the court of first instance.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or business operations. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify enrolled students by email.
Your continued use of the Website or services after the updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the relevant service.
